Australian sportsbook PointsBet has confirmed that Japanese entertainment group Mixi has received the regulatory approval needed to acquire PointsBet.

Mixi received written confirmation from Ontario’s gambling regulator, the Alcohol and Gaming Commission of Ontario, as well as its internet gaming counterpart, iGaming Ontario, both confirming that they have no concerns with the acquisition.

The confirmation satisfies a significant condition in the Takeover Bid Implementation Deed signed between Mixi and PointsBet on 16 June.

With these Ontario approvals in hand, Mixi has now secured all necessary gaming regulatory clearances for its offer. However, the offer’s success depends on meeting the remaining conditions, including achieving at least 50.1% shareholder acceptance.

PointsBet’s board has recommended the deal, which now moves a step closer to completion.

Earlier this year, Mixi received similar approval from the Northern Territory Racing and Wagering Commission on March 24.

Despite clearing regulatory reviews, Mixi’s initial scheme of arrangement was narrowly rejected by shareholders in late June after a recount that included contentious votes linked to sportsbook competitor Betr, falling short of the required 75% threshold.

In response, Mixi introduced a new off-market, all-cash proposal of AU$1.20 (US$1)1 AUD = 0.6524 USD

With the necessary gaming-related approvals now complete, the deal’s future depends on shareholder response to the revised bid, marking a crucial moment in the ongoing acquisition effort.
